General Terms and Conditions

Preamble
These General Terms and Conditions (hereinafter the "GTC") govern the business relationship between TechResellers (hereinafter the "Seller") and its customers (hereinafter the "Customer"). They apply to the purchase and sale, the general overhaul (refurbishment) and the resale (reselling) of IT and computer hardware.
1. Scope
These GTC apply to all current and future business relationships between the Seller and the Customer, even if they are not expressly agreed again.
Differing, conflicting or supplementary terms and conditions of the Customer shall not apply unless the Seller has expressly agreed to their validity in writing.
2. Conclusion of contract
Offers made by the Seller are subject to change and non-binding.
A contract is only concluded upon a written order confirmation, the issuing of an invoice or the delivery of the goods.
The Seller is entitled to reject offers or orders without stating reasons.
3. Quality and condition of the hardware
Unless expressly agreed otherwise, the hardware offered consists of used, tested and professionally reconditioned devices (refurbished goods).
The devices are technically tested, cleaned and functionally reconditioned.
The Customer acknowledges that minor cosmetic signs of use typical of second-hand goods are possible and do not constitute a defect, provided that functionality is not impaired.
4. Prices and payment terms
All prices are stated in Swiss francs (CHF) and include statutory value added tax unless otherwise indicated.
Payment must be made in accordance with the payment terms stated on the invoice or in the offer.
In the event of late payment, the Seller is entitled to charge default interest in accordance with the statutory provisions as well as any reminder and collection costs.
5. Delivery and shipping
Delivery is made under the conditions agreed in the offer or order confirmation.
The risk of accidental loss or deterioration of the goods passes to the Customer upon handover to the carrier.
Shipping and packaging costs are invoiced separately unless otherwise agreed.
6. Warranty
The Seller warrants that the goods are functional at the time of handover.
The warranty period is 24 months from the date of delivery, unless otherwise agreed in writing.
The Customer is obliged to inspect the goods immediately upon receipt and to report obvious defects in writing.
In the case of justified defects, the Seller shall, at its discretion, provide rectification or a replacement delivery.
7. Liability
The Seller is liable exclusively for damage caused by intent or gross negligence.
Liability for indirect damage, consequential damage or lost profit is excluded to the extent permitted by law.
8. Retention of title
The delivered goods remain the property of the Seller until all claims arising from the respective contractual relationship have been settled in full.
9. Data protection
Personal data is processed in accordance with the applicable statutory data protection provisions.

10. Final provisions
Swiss law applies exclusively.
The place of jurisdiction is, to the extent permitted by law, the registered office of the Seller.
Should individual provisions of these GTC be wholly or partly invalid, the validity of the remaining provisions shall remain unaffected.
